Item 8.01 Other Events
On October 3, 2017, National Storage Affiliates Trust, a Maryland real estate investment trust (the “Company”), and NSA OP, LP, a Delaware limited partnership (the "Operating Partnership"), entered into an underwriting agreement with Wells Fargo Securities, LLC and Morgan Stanley & Co. LLC, as representatives of the several underwriters named in Schedule A thereto, under which the Company agreed to sell, and the underwriters agreed to purchase, subject to the terms and conditions set forth in the underwriting agreement, an aggregate of up to 6,900,000 of the Company's 6.000% series A cumulative redeemable preferred shares of beneficial interest, par value $0.01 per share (the "Shares") (including 900,000 Shares pursuant to an option to purchase additional Shares solely to cover overallotments for which the underwriters have provided notice that the option is expected to be exercised in full at the closing). The Shares were offered to the public at a price of $25.00 per share, and were offered to the Underwriters at a price of $24.2125 per share. The Shares are being offered and sold under a prospectus supplement and accompanying prospectus filed with the U.S. Securities and Exchange Commission pursuant to a shelf registration statement on Form S-3 (File No. 333-211570). The Underwriting Agreement contains customary representations and warranties of the parties and indemnification and contribution provisions under which the Company and the Operating Partnership have agreed to indemnify the underwriters against certain liabilities, including liabilities under the Securities Act of 1933, as amended. The offering is expected to close on October 11, 2017, subject to customary closing conditions. Upon closing, the Company expects to receive aggregate net proceeds from the offering of approximately $166,566,250 after deducting the underwriting discount and other estimated offering expenses.
